1. Agreement to Terms

By downloading, installing, or using Offbook ("the App"), you agree to be bound by these Terms & Conditions. If you do not agree to these terms, please do not use the App.

2. Description of Service

Offbook is an offline-first accounting application designed for New Zealand sole traders and small businesses. The App provides:

  • Local bookkeeping and ledger management
  • GST calculation and reporting tools
  • Invoice and expense tracking
  • Bank statement import and reconciliation
  • Optional encrypted iCloud backup
  • Data export capabilities

3. Subscription and Pricing

3.1 Subscription Plans

Offbook is available through the following subscription options:

  • Monthly subscription: $12.99 NZD per month
  • Annual subscription: $129.99 NZD per year
  • 14-day free trial available for new users

3.2 Payment and Billing

  • All subscriptions are processed through Apple's App Store
  • Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period
  • Your Apple account will be charged upon confirmation of purchase
  • Prices are subject to change with 30 days' notice

3.3 Free Trial

  • New users are eligible for a 14-day free trial
  • You can cancel anytime during the trial period without charge
  • If not cancelled, the trial converts to a paid subscription automatically

3.4 Cancellation

  • You can cancel your subscription at any time through the App Store settings
  • Cancellation takes effect at the end of your current billing period
  • No refunds for partial subscription periods
  • Your data remains accessible on your device after cancellation

4. User Responsibilities

4.1 Accurate Record-Keeping

You are responsible for:

  • Entering accurate financial information
  • Maintaining proper backups of your data
  • Ensuring compliance with New Zealand tax laws and Inland Revenue requirements
  • Verifying all calculations and reports before submitting to authorities

4.2 Account Security

  • You are responsible for maintaining the security of your device
  • Enable Face ID/Touch ID for additional security
  • Do not share your device or Apple ID with unauthorized users

4.3 Acceptable Use

You agree not to:

  • Use the App for any illegal or fraudulent purposes
  • Attempt to reverse engineer or modify the App
  • Share your subscription with others
  • Use the App in a way that could damage our reputation or services

5. Data and Privacy

  • Your data is stored locally on your device by default
  • Optional iCloud backup is encrypted and controlled by you
  • We never access, sell, or monetise your financial data

6. Intellectual Property

Offbook and all related trademarks, logos, and content are owned by Offbook Ltd. You receive a limited, non-exclusive, non-transferable license to use the App for personal or business bookkeeping purposes.

7. Disclaimer of Warranties

Offbook is provided "as is" without warranties of any kind, either express or implied. While we strive for accuracy and reliability:

  • We do not guarantee the App will be error-free or uninterrupted
  • We are not responsible for any financial losses resulting from errors or omissions
  • The App is a tool to assist with bookkeeping, not a substitute for professional accounting advice
  • You should consult with a qualified accountant for tax and compliance matters

8. Limitation of Liability

To the maximum extent permitted by New Zealand law:

  • Offbook Ltd shall not be liable for any indirect, incidental, or consequential damages
  • Our total liability is limited to the amount you paid for the subscription in the 12 months preceding the claim
  • We are not liable for data loss (maintain your own backups)
  • We are not responsible for issues arising from iOS updates or device failures

9. IRD Compliance

While Offbook is designed to align with Inland Revenue requirements:

  • You are ultimately responsible for compliance with tax laws
  • We recommend consulting with a tax professional for complex matters
  • GST calculations are based on current NZ tax rates but may need verification
  • Always review reports before submitting to IRD

10. Updates and Changes

  • We may update the App to add features, fix bugs, or improve performance
  • Updates may require the latest version of iOS
  • We may modify these Terms with 30 days' notice
  • Continued use after changes constitutes acceptance of new terms

11. Termination

We reserve the right to terminate or suspend access to the App if you:

  • Violate these Terms & Conditions
  • Use the App for fraudulent purposes
  • Fail to pay subscription fees (through App Store)

Upon termination, you must stop using the App. Your local data remains on your device.

12. Governing Law

These Terms are governed by the laws of New Zealand. Any disputes shall be resolved in New Zealand courts.

14. Severability
